حيث إنه وفقا لقوانين دولة الإمارات العربية المتحدة، يتوجب على أي شركة أجنبية، بغرض الحصول على رخصة لإنشاء مكتبها الفرعي في الإمارات العربية المتحدة، أن تدخل في اتفاقية مع وكيل محلي يشترط فيه أن يكون من مواطني الإمارات أو هيئة قانونية مملوكة بالكامل من طرف مواطن/ مواطنين من دولة الإمارات العربية المتحدة.
حيث إن الوكيل يعتبر مؤسسة مملوكة بالكامل من طرف مواطن من دولة الإمارات العربية المتحدة، وبما أن الوكيل له الحق والأهلية للتصرف بصفة وكيل محلي،
وحيث إن كلا الطرفين اتفقا على أن يقوم الوكيل بالتصرف بصفة وكيل محلي بخصوص إنشاء المكتب الفرعي للشركة في الإقليم وفقا لقوانين الإمارات العربية المتحدة،
وحيث إن طرفي هذه الاتفاقية يرغبان في الدخول فـــــي اتفاقيـــــة، بغرض ضمان الالتزام بقوانين دولة الإمارات العربية المتحدة وفرض أحكام وشروط تعيين الوكيل بصفته الوكيل المحلي لمكتب الشركة الفرعي في الإقليم، وهو ما يتفق الطرفان بموجبه ويتعهدان باحترامه وصيانته وتنفيذه، وهذا يعني:
تنص الاتفاقية على ما يلي:
1- المقدمة:
يجب التعامل مع المقدمة أعلاه وقراءتها كجزء لا يتجزأ من هذه الاتفاقية.
2- التعيين:
تقوم الشركــــــة بموجبه يتعين الوكيل بصفته الوكيل المحلي للشركــــــة فــــــي الإقليم بينمــــــا يقبــــــل الوكيل بموجبــــــه هذا التعيين وفقا لأحكام وشروط هذه الاتفاقية.

WHEREAS in accordance with the Laws of the United Arab Emirates, a foreign company must, in order to be licensed to establish its branch office in the United Arab Emirates, enter into an agreement with a national agent who shall be a national of the United Arab Emirates or a legal entity wholly owned by national(s) of the United Arab Emirates.
WHEREAS the Agent is an establishment wholly owned by a national of the United Arab Emirates, and the Agent therefore has the right and capacity to act as a national agent; and
WHEREAS both Parties have agreed that the Agent shall act as the national agent for the establishment of the Branch Office of the Company in the Territory in accordance with the Laws of the United Arab Emirates;
AND WHEREAS the Parties hereto are desirous of entering into this Agreement, in order to ensure compliance with the Laws of the United Arab Emirates and prescribe the terms and conditions of the appointment of the Agent as the national agent of the Company’s Branch Office in the Territory, which the Parties hereto do agree and covenant to observe, keep and perform; that is to say:
NOW THIS AGREEMENT WITNESSETH AS FOLLOWS:
1. The Preamble:
The above Preamble shall all times be treated and read as an integral part of this Agreement.
2. Appointment:
The Company hereby appoints the Agent as the Company’s national agent in the Territory and the Agent hereby accepts the said appointment in accordance with and subject to the terms and conditions of this Agreement.

1.1- Installations futures
Les installations futures projetées du poste 66kv se composeront de :
A- Equipements existants du Poste
B- Un (01) sectionneur type extérieur (nouveau)
C- Un (01) disjoncteur type extérieur (nouveau)
D- Un (01) transformateur 60/5,5kv – 8MVA (nouveau)
E- Une (01) armoire de synchronisation et marche en parallèle, pour 2x4MVA (nouveau)
F- Une (01) armoire de comptage et marche en parallèle pour 8MVA/2x4MVA (nouveau)
Le poste 66kv projeté assurera l’alimentation du centre C4 à travers les deux (02) transformateurs 60/5,5kv 4MVA existants en fonctionnement en parallèle à travers l’armoire de synchronisation. Le tableau 5,5 kv existant sera alimenté à partir de l’armoire de couplage, laquelle sera alimentée par le nouveau transformateur 60/5,5kv-8MVA, et les deux transformateurs 60/5,5kv 4MVA ensemble. Le tableau 5,5kv alimentera ensuite tous les autres consommateurs à travers le nouveau tableau 5,5kv de la sous-station M.T projetée.
1- Rénovation Poste 63kv (INAS)-variante 2 Schéma de Distribution Générale N*
Le poste 63kv est un poste relativement vieux, il a été mis en service au début des années 60. Ce poste est alimente par une ligne haute tension 60kv à partir de la station électrique de In Amenas. Il est de type extérieur (GIS).
2.1- Installation existantes
Le poste 63kv se compose principalement de :
A- Une (01) arrivée sur portique (provisoirement sectionnée de la station INAS)
B- Trois (03) sectionneurs type extérieurs
C- Trois (03) disjoncteurs type extérieurs
D- Un (01) transformateur de puissance élévateurs 5,5/60kv-2,5 MVA
E- Deux (02) transformateurs de puissance abaisseurs 60/15kv- 2,5MVA
F- Un (01) tableau moyenne tension 15kv
G- Un (01) tableau moyenne tension 5,5kv
Actuellement le poste 63kv n’est pas alimente par la station électrique de In Amenas. Il est alimenté à partir du tableau 5,5kv du poste 66kv ALRAR qui alimente le tableau 5,5 kv du poste INAS existant pour ensuite alimenter les travées 63kv du poste a travers le transformateur élévateur 5,5kv- 2,5 MVA.
Les deux (02) transformateurs abaisseurs 60/15kv-2,5 MVA alimentes à partir des travées assurent l’alimentation du tableau moyenne tension 15kv et ainsi tous les consommateurs 15kv de la zone projet.
Le tableau 5,5kv alimente aussi tous les consommateurs électriques du centre C4 et les consommateurs de la zone projet.

1.1 - Future Installations
The components of future installations planned for the 66kv substation are:
A. Substation’s Pre-existing equipment

E. One (01) synchronization panel with parallel operation for 2x4MVA (new)
F. One (01) metering panel with parallel operation for 8MVA/2x4MVA (new)
The planned 66kv substation will ensure power supply for the Center C4 by way of two (02) existing 60/5.5kv 4MVA transformers by parallel operation through the synchronization panel.
The pre-existing 5.5kv distribution board shall be fed through the coupling panel, itself fed through the new 60/5.5kv – 8MVA power transformer and both 60/5.5kv 4MVA transformers simultaneously. The 5.5kv distribution board will then feed other end users through the new 5.5kv board of the planned medium voltage substation.
1- 63kv Substation Restoration (INAS) – version 2 – General Power Distribution Scheme N*
The 63kv substation is relatively old. It has been functional since early 60’s. This substation is fed by a 60kv high voltage line from the In Amenas power station. It is external (GIS).
2.1- Pre-existing installations
The components of the 63kv substation are mainly:
A. One (01) incoming line gantry (temporarily isolated from INAS station)
B. Three (03) external isolator
C. Three (03) external breaker
D. One (01) 5.5/60kv – 2.5MVA step up power transformer
E. Two (02) 60/15kv – 2.5MVA step down power transformers
F. One (01) 15kv medium voltage distribution board
G. One (01) 5.5kv medium voltage distribution board
At the present time, the 63kv substation is not fed by the In Anemas power station. It is fed through the 5.5kv board of the 66kv ALRAR substation which feeds the pre-existing INAS substation in addition to the bays of the 63kv substation through the 5.5/60kv – 2.5MVA step up power transformer. Both of the 60/15kv – 2.5MVA step down power transformers fed through the bays ensure the power supply to the 15kv medium voltage distribution board as well as to all 15kv end users of the project area.
The 5.5kv medium voltage distribution board also supplies all end-users in the C4 Center and in the project area with electrical power.

The Company shall have the exclusive right to appoint manager(s) to manage and administer the business of the Branch Office and to give him or them the right to sign on behalf of the Branch Office, represent the Branch Office before the courts, ministries, government departments, oil and gas companies, consultants, customers and all third parties, enter into contracts, refer disputes for arbitration, appoint arbitrators, fix their remuneration, dismiss the arbitrators, open, operate and close bank accounts, avail credit facilities and loans, give securities by way of lien, pledge, mortgage or assignment, receive and withdraw money, issue proper receipts, appoint and dismiss the employees and fix their remuneration , appoint any person as the attorney, appoint lawyers, with power to delegate and do any other act or thing for the efficient running and conduct of the business of the Branch Office.
7. Duties of the Agent:
7.1. In its capacity as the national agent, the Agent shall render the following general services to the Company:
7.1.1. At the Company’s request act as the Company's liaison and advice and assist the Company in its relationship with customers, prospective customers, oil companies and government authorities.
7.1.2. Render all necessary assistance to the Company, if requested, for clearance of any goods/equipment imported by the Company through the customs and port departments.

7-1-1 أن يتصرف، بناء على طلب الشركة، بصفته المكلف بعلاقات واستشارات الشركة وأن يقدم الدعم للشركة في علاقتها مع العملاء، والعملاء المستقبليين وشركات النفط والهيئات الحكومية.
7-1-2 أن يقدم كافة الدعم الضروري للشركة، عند الطلب، بغرض تخليص أية سلع/ معدات تستوردها الشركة عبر إدارات الجمارك والميناء.
