Il Fornitore, salvo diversi accordi, proporrà al Factor la Cessione in massa di tutti i propri Crediti nei confronti di ogni Debitore; ricorrendone le condizioni i Crediti futuri si trasferiranno ai sensi del terzo e quarto comma dell’art. 3 della Legge 21 febbraio 1991, n. 52, altrimenti, secondo quanto previsto dal codice civile, quando verranno ad esistenza. In quest’ultimo caso sarà cura del Fornitore segnalare al Factor il sorgere del credito, secondo le modalità che i contraenti avranno previamente concordato. Qualora si concordi di procedere con la Cessione di singoli Crediti, il Fornitore proporrà tale Cessione entro e non oltre 30 gg. dalla data di spedizione delle merci o prestazioni dei servizi. Il Factor si riserva di accettare tali Cessioni in tutto o in parte.
Di ogni Cessione accettata dal Factor sarà data comunicazione al Debitore a spese del Fornitore nelle forme più idonee indicate dal Factor medesimo.
L’avvenuta Cessione dovrà essere evidenziata mediante annotazione apposta sulle fatture relative ai Crediti ceduti. Salvo diversi accordi i Crediti verso Debitori appartenenti alla Pubblica Amministrazione dovranno essere ceduti e la Cessione notificata nelle forme e modi previsti dalla legge, con spese interamente a carico del Fornitore, ivi comprese quelle relative alla eventuale successiva retrocessione dei Crediti medesimi.
Il Fornitore dovrà consegnare al Factor, entro 30 gg. dalla data di emissione, copia delle fatture relative ai Crediti ceduti, unitamente all’intera documentazione probatoria, costitutiva ed accessoria dei Crediti stessi.
Qualora le Parti concordino di non comunicare al Debitore l’avvenuta Cessione dei Crediti, il rapporto sarà disciplinato da un separato accordo. Per i Crediti che sorgeranno da contratti già stipulati o in corso di esecuzione il Fornitore consegnerà al Factor copia del contratto, ordine, conferma d’ordine e relativo piano di fatturazione.
Con la Cessione il Factor acquisterà la piena ed assoluta disponibilità dei Crediti, che si intenderanno ceduti con i privilegi, le garanzie personali e reali e con gli altri accessori, ivi inclusi eventuali effetti cambiari o altri titoli, che saranno consegnati al Factor debitamente girati dal Fornitore. Per tali titoli si applicheranno, nei confronti del Fornitore e dei terzi, le norme bancarie vigenti in tema di incasso, sconto, accettazione di effetti.

Unless a different agreement is reached, the Supplier will propose to the Factor the Assignment en bloc of all Receivables due from each Debtor; if requirements are met, future Receivables will be assigned in accordance with the third and fourth paragraph of article 3 of Law n. 52 of February 21st 1991, alternatively whenever they come into existence pursuant to the provisions of the Italian Civil Code. In the latter case, it is the responsibility of the Supplier to notify the Factor of any Receivables arising according to the methods arranged beforehand between the contracting parties. Should an agreement be reached to Assign single Receivables, the Supplier will propose this Assignment by and not later than 30 days after the dispatch of goods or performance of services. The Factor reserves the right to accept such Assignment either wholly or in part.
At the Supplier's expense, the Debtor will be notified of each single Assignment accepted by the Factor in the way deemed most appropriate by the Factor itself.
The Assignment must be clearly shown on the invoices for the Receivables assigned by a means of a special annotation. Unless a different agreement is reached, any Receivables owed by Public Administration Debtors must be assigned and notification of the Assignment must be given as prescribed by Italian law; the Supplier will be entirely liable for any expenses incurred thereof including costs arising from the subsequent reconveyance fees for such Receivables.
Within 30 days of the issue date, the Supplier must provide the Factor with a copy of the invoices relating to the Receivables assigned together with the entire supporting, statutory and ancillary documentation for the Receivables themselves.
Should the Parties agree not to inform the Debtor that the Receivables have been assigned, business relations will be regulated under a separate agreement. For any Receivables arising from previously stipulated contracts or any in the process of being stipulated, the Supplier will provide the Factor with a copy of the contract, the order, the order confirmation and the invoicing scheme.
Together with the Assignment, the Factor enters into full and complete availability of the Receivables which are deemed to have been assigned with all their associated privileges, secured and unsecured guarantees and all other ancillary warranties including any bills of exchange or other securities, all of which will be duly endorsed by the Supplier and handed over to the Factor. For such securities, the current banking regulations on collection, discount and acceptance of bills will be binding on the Supplier and third parties.
