The 3th day of September of the year two thousand three
The undersigned Company BBB (further - the Incorporator), represented by director of the Company Ms. CCC, acting in compliance with the Articles of Association and pursuant to the provisions of the Law on Companies of the Republic of Lithuania does hereby set forth as follows:
To incorporate AAA a private limited liability company (further - the Company), to subscribe for and to pay up the shares of the Company on the terms and conditions here below:
1. Incorporator of the Company: Company BBB, company code - ………., registration address: …….
2. The Name of the Company: AAA.
3. Authorized Stock and Shares of the Company
3.1. The authorized stock of the Company, which is formed at the time of its incorporation is 10.000.00 (ten thousand) Lithuanian Litas. The stock is divided into 1000 (one thousand) ordinary registered shares (further - the shares).
3.2. The par value of one share is 10 (ten) Lithuanian Litas.
3.3. The shares of the Company are uncertificated.
3.4. The present Memorandum is the evidence of the right of ownership to the subscribed shares of the Company. Upon the registration of the Company the entries in the securities accounts, which are administered by the Company, shall evidence the right of ownership.
3.6. The shares of the Company entitles their owner to all property and non-property rights prescribed by the Law on Companies of the Republic of Lithuania. One share of the Company shall grant its owner one vote at the statutory meeting.
3.7. At the time of the incorporation the issue (selling) price of one share of the Company is 10 (ten) Lithuanian Litas.
4. Payment for the Shares of the Company
4.1. The Incorporator has resolved to effect the full payment for all the shares of the Company until the 3th day of November 2003.
4.2. The Incorporator shall pay cash contributor the subscribed shares into the accumulative account of the Company.

Įstegti AAA ribotos atsakomybės bendrovę (toliau ,,Bendrovė‘‘), užsisakyti ir apmokėti Bendrovės akcijas sekančiomis sąlygomis:
1. Bendrovės steigėjas: Bendrovė BBB, įmonės kodas-............, registruotas adresas ......
2. Bendrovės pavadinimas: AAA
3. Bendrovės vertybiniai popieriai ir akcijos
3.1 Bendrovės vertybinių popierių vertė Bendrovės steigimo metu yra 10 000 (dešimt tūkstančių) Lietuvos litų. Vertybiniai popieriai yra suskirstyti į 1000 (vieną tūkstantį) paprastųjų vardinių akcijų (toliau ,,Akcijos‘‘).
3.2 Nominali vienos Akcijos vertė yra 10 (dešimt) Lietuvos litų.
3.3 Visos Bendrovės Akcijos yra išduodamos be liudijimo.
3.4 Ši sutartis įrodo, kad Akcijos teisėtai priklauso Bendrovei. Po Bendrovės įregistravimo, visi įrašai įvesti į Bendrovės apskaitos knygas įrodys nuosavybės teisę.
3.5 Remiantis Lietuvos Respublikos Bendrovių steigimo įstatymu Bendrovės akcijų savininkui suteikiamos visos turtines ir neturtines teises. Viena Akcija jos savininkui suteikia vieną balsą akcininkų susirinkime.
3.6 Vienos akcijos išdavimo (pardavimo) kaina nuo Bendrovės įsteigimo yra 10 (dešimt) Lietuvos litų.
4. Bendrovės akcijų apmokėjimas
Steigėjas išmokėjo visą sumą už visas akcijas iki 2003 m. lapkričio 3 d.
Steigėjas už užsakytas akcijas įneš grynuosius pinigus į Bendrovės kaupiamąją sąskaitą.
