The Articles of Association and the Court Certificate of the Company construe Annexes no. 1-2. of the present preliminary agreement.
1.2 The share capital of the Company at the time of signing of the present preliminary agreement amounts to HUF 3,000,000, in words, three million forints. At the time of signing of the present preliminary agreement Seller I. holds a share of the Company with the nominal value of HUF 1,000,000 (hereinafter referred to as: Share I.), while Seller II. holds a share of the Company with the nominal value of HUF 2,000,000 (hereinafter referred to as: Share II.).
1.3 Purchaser declares that it desires to purchase from Sellers the Share I. and Share II. defined in clause 1.2 with a total nominal value of HUF 3,000,000 (together hereinafter referred to as: Shares) with the conditions set out in the present preliminary agreement and the final share sale and purchase agreement, and by acquiring the Shares, it intends to hold the 100% of the shares of the Company.
1.4 Parties agree that following the joint fulfillment of the conditions included in clause 3. of the present preliminary agreement within the deadline stipulated therein parties will conclude a final share sale and purchase agreement, containing the conditions of the present preliminary agreement in the form as attached hereto as Annex no. 3 (hereinafter referred to as the Final Agreement).

Source text - English American enthusiasm for wine has been growing enormously, but is still concentrated on the coasts. The USA as a whole is now the world’s most important consumer of wine, and only France, Spain, and Italy make more of it. Canada has become a serious wine producer in recent years, and even Mexico is starting to figure in the statistics. Not just the long established West Coast, but scattered spots all over North America hold at least local interest for wine drinkers. Will the continent one day catch up with Europe? Or will China overtake it?
When the early colonists first landed in North America, they were impressed by the rampant grapevines whose fruit festooned the forests. The grapes were sweet, if strange, to taste. It was natural to assume that wine would be one of the good things of the New World. Yet more than 300 years of American history were a saga of the shattered hopes of would-be wine-growers. European vinifera vines planted in the new colonies withered and died. The colonists did not give up. Having no notion what was killing their vines, they assumed it was their fault and kept trying different varieties and methods.
As late as the Revolution, Washington and Jefferson (a great proponent of wine and one of France’s early wine tourists) made determined attempts, even employing a Tuscan specialist. Nothing came of it. The American soil was riddled with the European vine’s deadliest enemy, phylloxera. The hot,
humid summers of the south and east encouraged diseases unknown in Europe. In the north, European vines died in the
harsh winters. Native American vines had developed resistance to all of these hazards.
We now know of well over a dozen vine species indigenous to North America, many of them (and particularly Vitis labrusca) producing wine so feral that it has long been described as “foxy” – a flavour familiar today in grape juice and jelly, but off-putting to drinkers accustomed to Europe’s only vine species, Vitis vinifera.

Az USA egésze mára a világ legnagyobb borfogyasztójává vált és termelésben is csak Franciaország, Spanyolország és Olaszország előzi meg. Az utóbbi időben Kanada is komoly bortermelővé vált, sőt Mexikó is megjelent - bár egyelőre csak mint statisztikai adat. Nemcsak a hosszú múltra visszatekintő nyugati parton, hanem az egész észak-amerikai kontinensen találhatunk elszórtan olyan területeket, amelyek okkal tarthatnak számot - legalább a helyi - borkedvelők érdeklődésére. Utoléri-e a kontinens valaha is Európát vagy esetleg beelőzi Kína?
Az észak-amerikai kontinensen először partraszálló gyarmatosítókat lenyűgözték a buján burjánzó szőlőtőkék, amelyek gyümölcsei füzérként díszítették az erdőket. A szőlők édesek voltak, noha különös ízűek. Természetesnek tűnt, hogy a bor az egyike lesz azoknak a javaknak, amelyekkel az Újvilág ellátja telepeseit. A déli és a keleti területek forró, párás nyarai kedveztek az Európában ismeretlen kártevőnek, míg északon a kemény telek pusztították az Európából behozott szőlőket. Az őshonos fajták ellenálltak mindkét veszélynek.

How a plant such as juniper catches the eye of a human, and how they are both then inspired to engage in a long, mutually beneficial relationship, is a complicated thing. There has to be an initial attraction that makes a person look closer at a plant in the first place. That attraction can sometimes be one of appearance, sometimes one of accessibility, or even necessity. But no matter what that first attractor might be, it is most often its usefulness to the other species that determines whether or not it gets a second look. To take from the world of marketing – and, much later, of gin: ‘You sell a first sip with the appearance and the ad campaign, but you sell a second sip with the actual product itself.’
We can use this lens to look at how juniper first captured the eye of our distant ancestors, and trace it through history to understand how it came to be the primary flavouring in gin. Though we begin with a look at the prehistory of juniper, this particular strain underlies the narrative in each of the other histories contained in this chapter. Essentially the whole story of gin is how mankind fell in love with juniper. And it begins at the very beginning.
Juniper has a knack for finding a niche, and thriving in it, having been grown successfully in all of its many different forms of species in numerous eco-regions for hundreds of thousands of years. Despite this, its range expanded further after the last ice age, which was 10,000 years ago. Junipers can be found in tropical Africa, the forests of eastern Europe, Tibet, the Pinyon-Juniper woodlands in the deserts of the western United States, and nearly anywhere else in the northern hemisphere. As juniper was so common it should come as no surprise that many people around the world used the plant as part of their daily lives.
As far back as the Palaeolithic era the coniferous juniper shrub was in common use. Archaeologists have discovered that the Lascaux Cave in France, famous for its thousands of engravings and paintings, was lit by the juniper branch. And indeed researchers found that the branches doubled as wicks for the inhabitants of the cave. There’s a certain romanticism around the notion that the very painters who left us some of the best examples of Stone Age art, more than 15,000 years ago, created their vivid depictions of aurochs and deer to the light of an illuminated juniper branch.
The Lascaux Cave is by no means the only Palaeolithic site where evidence of juniper use has been found. Charcoals from burnt juniper have been found in sites in Western Macedonia and in Neolithic sites in what is now modern-day Jordan, as well as along the Dalmatian coast and in Adriatic settlements elsewhere in Europe. Though we can’t be sure if the berries themselves were the objects of desire, or whether it was the branch on which they had grown, their presence is a sign that people were indeed aware of the aromatic properties of juniper. The sweet, piney, fresh air and charred pine aromas of burnt juniper are, after all, hugely memorable.
It’s worth pointing out that thus far, the sites I’ve mentioned are all places where juniper was known to have been growing indigenously at the time people were recorded as using it. This is certainly a situation where accessibility and necessity drove the use of the conifer. After all, the juniper plant is short and readily available, with branches that are easy to grab. To track the transition of juniper from a plant of convenience to one of desire, we have to look for evidence that juniper was being found and used in places outside of its native range. This is a tall order for a conifer that has found a niche nearly everywhere in the northern hemisphere.

Hogy egy növény úgy megragadja az embert, hogy abból mindkettejüknek hosszú, kölcsönösen előnyös kapcsolata származzon bizony komplikált dolog. Kell lennie egy olyan alap- vető vonzódásnak, ami arra készteti az embert, hogy közelebbről is szemügyre vegye az illető növényt. A vonzalom oka kereshető akár a növény megjelenése, elérhetősége, vagy éppen a szükség. Tulajdonképpen mindegy is, hogy mi is az ok, legtöbbször a másik faj hasznavehetősége határozza meg, hogy mennyire lesz tartós a viszonyuk. A marketing világából vett példával: „Az első kortyot a termék megjelenése és a reklámja adja el, míg a második már a termék megkóstolásának következménye.”
Használhatjuk mi is ezt az objektívet, hogy megvizsgáljuk miként ragadta meg távoli őseinket a boróka és kövessük végig azt az utat, ahogy a gin elsődleges ízesítőjévé vált. Bár utazásunkat a történelem előtti időkben kezdjük, ez a sajátos eredet meghatározza a fejezetben bemutatott későbbi történéseket. A gin története alapvetően az ember és a boróka viszonyának története, ami a kezdetek kezdetét megelőzően kezdődött.
A boróka többszázezer éve fortélyos módon találja meg az összes olyan élőhelyet ahol jól megél és fejlődhet számos fajának egyikeként a legkülönfélébb közegekben. Ennek ellenére széleskörű elterjedése a 10 000 évvel ezelőtti utolsó jégkorszak utánra tehető. Találhatunk boróka fajokat a trópusi Afrikában, Kelet-Európa erdeiben, Tibetben, a Pinyon-Juniper erdőségekben, az USA nyugati sivatagos területein, vagyis tulajdonképpen bárhol az északi féltekén. A boróka ilyen széleskörű elterjedésének köszönhetően nincs mit csodálkoznunk azon, hogy a növény milyen sokak életében tölt be meghatározó szerepet.
A toboztermő boróka cserjének a felhasználása már a Paleolitikumban is elterjedt volt. A franciaországi Lascaux-i barlang régészeti feltárása során derült fény arra, hogy a barlang falán található több ezer rajz készítői égő boróka ágakat használtak világítóeszközül, sőt azt is sikerült megállapítani, hogy a barlang lakói kanócként használták doubled as wicks. Van is egyfajta romantikus felhangja annak az elképzelésnek, hogy a kőkorszaki művészek a legjellemzőbb alkotásait, őstulkokat és szarvasokat ábrázoló képeiket borókafáklya fényénél hozták létre.
A Lascaux-i barlang messze nem az egyetlen olyan paleolit lelőhely, ahol a boróka használatára utaló leleteket találtak. Borókából égetett faszén került elő Nyugat-Macedóniából, a mai Jordániában található neolit lelőhelyekről, a Dalmát partok vidékéről, de egyéb Adria-menti telepekről is. Abban ugyan nem lehetünk biztosak, hogy eleink a boróka bogyóit is felhasználták volna vagy esetleg csak az ágakat, amin teremtek, jelenlétük mindenesetre arra utal, hogy aromatikus tulajdonságuk ismert volt. Az édes, fenyőillatú friss levegő és az faszénné égett borókafenyő illata mindenképpen mély nyomokat hagyott bennük.
Külön említést érdemel, hogy a fentebb felsorolt régészeti lelőhelyek mindegyikén már a leletek keletkezésének idején is őshonos volt a boróka. Ez tehát az az eset, amikor a jelenlét és a szükség együttesen vezetett a növény felhasználásához. Végül is a boróka alacsony növésű, tehát könnyűszerrel elérhető és az ágait is könnyű megmarkolni. Ha azt akarjuk megtudni, hogyan vált az egyszerűen hozzáférhető növényből kívánatos növény, akkor olyan helyen kell körülnéznünk, ahol a boróka nem őshonos. Ez az igazán nagy kihívás, ugyanis a tűlevelűek az északi félteke nagy részén könnyedén megélnek.
