The E2 controller is a microprocessor-based control
system designed to provide complete control of compressor
groups, condensers, refrigerated cases, and other components related to refrigeration and building control.
The E2 is the controlling component of a three-network configuration (RS485 I/O, Echelon® Lonworks™ Networks, and Ethernet) that includes input and output communication boards, remote communication software, and a variety of
sensors, probes, and transducers.
The E2 efficiently operates all systems that support
refrigeration (including compressor racks and condensers)
and other components not directly related to refrigeration
control, such as HVAC systems, anti-sweat heaters, and
sensor control modules.
1.1 The E2 Refrigeration Controller
The E2 RX is available in three models: the RX-300,
RX-400, and RX-100. The E2 RX-300 is capable of controlling
a single refrigeration system (including one condenser
and up to four suction groups). The E2 RX-400 is
capable of controlling two separate refrigeration systems
(including two condensers and up to four suction groups).
The RX-100 is a low-cost alternative to the RX-300 with
fewer capabilities and a monochrome display.
The E2 RX is primarily designed to control temperature
and defrost in refrigerated cases using either direct
control (connected to the E2 via I/O boards or ESR8
lineup control boards) or by using CC-100 case control
boards (connected via the LonWorks Network).
Table 1-1 shows the differences between capabilities for the RX-300 and RX-400.
1.2 The E2 Building Controller
The counterpart to the E2 RX is the E2 BX, which controls
HVAC systems for low-rise retail, industrial, and
commercial buildings. The BX’s primary function is to
provide energy-efficient control of air handling units
(AHUs), rooftop units (RTUs), and other systems related
to environment control. In addition, the BX provides
extensive sensor control, logging, and graphing features
that allow the user to view accurate real-time information
about system conditions. The BX is equipped with many
power monitoring and demand control features that give
you the information you need to keep your site’s energy
consumption low.

3. Condições Gerais da Proposta:
3.1 A qualquer momento poderá ser solicitado à Proponente a documentação abaixo listada, cuja entrega será imprescindível para continuidade do processo. A análise desta documentação, quando solicitada, fará parte do processo de decisão de contratação:
a) Três últimos balanços publicados pela empresa;
b) Balancete recente, caso o último balanço tenha se encerrado há mais de seis meses;
c) Contrato Social ;
d) Composição Societária;
e) Certidão de arquivamento do contrato social junto a Junta Comercial;
f) Certidão de Regularização com o PIS;
g) Certidão de Regularização com o COFINS;
h) Situação perante a Justiça Federal;
i) Situação perante a Justiça Comum;
j) Situação perante a Justiça do Trabalho;
k) Situação perante a Previdência Social;
l) Situação perante o Ministério da Fazenda;
m) Documento que comprove a capacidade operacional (máquinas, equipamentos, veículos, etc.
n) Relação de serviços similares ao objeto do presente Instrumento, com indicação do nome da Contratante, objeto contratado, época e duração dos serviços, bem como nome e e-mail de contato na Contratante para obtenção de informações adicionais sobre os serviços prestados.
Obs.: Se a empresa fizer parte de algum grupo econômico, as informações previstas nos itens “a”, “b” e “c” deverão se estender às principais empresas coligadas.
4. Condições da Proposta Comercial:
Deve ser incluído obrigatoriamente na proposta comercial:
4.1 Lista de Preços (conforme modelo anexo).
Os preços deverão ser expressos em R$ (Reais), devendo ser propostos os melhores preços possíveis. Os impostos incidentes, bem como suas respectivas alíquotas, deverão estar claramente indicados nas Planilhas de Preços. Os preços lançados nas planilhas devem conter todos os custos e despesas, inclusive impostos e tributos de qualquer natureza, bem como eventuais despesas com importações. Para efeitos desta proposta, deverá ser considerada, para formatação dos preços, alíquota de 12% para o ICMS.
As Proponentes deverão apresentar seus preços na Planilha modelo, anexa a esta RFP, observando-se que as planilhas representam o mínimo a ser apresentado, podendo cada Proponente apresentar tantas planilhas quantas sejam necessárias para o completo entendimento da proposta.
4.2 Impostos a serem destcados/Incidentes: IPI, ICMS e ISS.
4.3 Condições de Pagamento: 100% do valor do item em 90 dias da entrega e aceite pela XYZ;
4.4 Prazo de Entrega do Equipamento / Material: Conforme ETC/minuta de contrato.
4.5 Validade de Pagamento: 90 dias. Vigência do contrato: 2 anos.
4.6 Valores com o Dolar base na paridade US$ = R$ 1,9843, quando aplicável;
4.7 Garantia para Equipamentos/Materiais: 24 meses após recebimento e aceite pela XYZ.
4.8 Informações sobre a origem dos itens propostos (nacional ou importado), e de eventuais programas de nacionalização.
4.9 No caso dos equipamentos e materiais propostos serem finamizáveis, deverá ser apresentado junto ao item, o respectivo código Finame;
4.10 Proposta de Financiamento.
4.11 A Proponente deverá cotar por mês/ano o custo do serviço de suporte técnico/ manutenção após o período de garantia (quando aplicável);
4.12 As quantidades mínimas, por equipamento, informadas na planilha de preços, poderão ser alteradas conforme a capacidade/tecnologia/modularidade de cada fornecedor.
4.13 A partir dessa lista de material, deverá ser possível compor os preços apresentados e, caso haja valores conflitantes na LPU, valerá aquele de menor valor.
4.13.1 No valor sem impostos entende-se que deverão estar inclusos: PIS, COFINS, CIF e ISS, etc... (somente os impostos IPI e ICMS não deverão estar inclusos).
4.14 Os elementos listados na planilha de preços deverão incluir todo o hardware, materiais, software, serviços e equipamentos periféricos necessários ao seu completo funcionamento. Qualquer equipamento ou serviço que não esteja listado, mas que seja necessário para operar o Sistema deverá ser oferecido e cotado pela Contratada. Caso contrário, a Contratada, se vencedora, deverá fornecer o item omitido sem ônus para a Contratante.
5. Requisitos Obrigatórios:
5.1 O Proponente deverá possuir capacidade e experiência comprovada nas atividades descritas no objeto deste edital, devendo para tal indicar o nome da Contratante, objeto contratado, época e duração dos serviços, bem como nome e e.mail de contato na Contratante, para obtenção de informações adicionais sobre os fornecimentos / serviços prestados, quando solicitado.
6. Termo de Conscientização:
6.1 A XYZ compromete-se a analisar todas as propostas recebidas uniformemente seguindo os procedimentos existentes para a escolha do fornecedor final.
Desta forma, a XYZ informa que:
• O fornecedor participante de qualquer etapa do processo de concorrência da Diretoria de Suprimentos da XYZ deverá apresentar postura ética, comprometendo-se a respeitar e obedecer ao “Código de Ética” da empresa cujo conteúdo encontra-se disponível em nosso site oficial: www.xyz.com.br (Sobre a XYZ > Empresa > Informações > Fornecedores > Código de Ética).
• O fornecedor participante de qualquer etapa do processo de concorrência da Diretoria de Suprimentos das Empresas da XYZ deverá estar ciente e de acordo com o Termo de Confidencialidade proposto pela Diretoria, que também se encontra disponível em nosso site oficial: www.xyz.com.br (Sobre a XYZ > Empresa > Informações > Fornecedores > Termo de Confidencialidade).
• A data-limite para entrega das propostas deverá ser respeitada. Nenhuma proposta será aceita após encerramento do prazo determinado na RFP, assim como qualquer modificação ou complementação, salvo se houver solicitação do responsável pelo processo na Diretoria de Suprimentos da XYZ.
• A empresa convidada que não desejar participar do processo de concorrência deverá formalizar sua ausência através do envio de uma declaração de declínio à solicitação de proposta recebida. A ausência desta formalização poderá resultar na exclusão do fornecedor de futuros processos de concorrência.
Em caso de dúvidas, o fornecedor deverá procurar o seu contato, mencionado na RFP, na Diretoria de Suprimentos para esclarecimentos.
7. Disposições Finais
A XYZ reconhece a quantidade de esforço envolvida em responder esta RFP, mas não será considerada responsável por quaisquer custos incorridos por Fornecedores/Proponentes no processo de preparação da resposta a esta Solicitação. Todos os documentos entregues à XYZ referentes a esta RFP tornam-se propriedade da XYZ e não serão devolvidos às PROPONENTES.
A apresentação de proposta significará a total concordância com os termos e condições deste Instrumento e seus documentos integrantes.

3. General Conditions of the Tender:
3.1 At any time, the Applicant may be required to provide the documentation listed below, whose delivery will be essential to continue the process. The analysis of this documentation, when requested, will be part of the process of hiring decision:
a) Three last statements published by the company;
b) Recent Balance Sheet, if the last balance has closed for over six months;
c) Articles of Incorporation;
d) Corporate Membership;
e) Filing Certificate of the Articles of Incorporation with the Board of Trade;
f) Certificate of Regularization with PIS;
g) Certificate of Regularization with COFINS;
h) Situation in the Federal Court;
i) Situation in the Common Courts;
j) Situation before the Labor Court;
k) Situation in Social Security;
l) Situation before the Ministry of Finance;
m) Evidence to support the operational capacity (machinery, equipment, vehicles, etc.).
n) List of similar services to the object of this instrument, with the names of the Contractor, contractual object, time and duration of services, as well as name and email contact in the Contractor to obtain additional information on the services provided).
Note: If the company is part of any economic group, the information specified in items "a", "b" and "c" should be extended to the major affiliate companies.
4. Terms of Commercial Proposal:
Must necessarily be included in the commercial proposal:
4.1 Price List (as attached model).
Prices must be expressed in R$ (Reais) and should be offered the best possible prices. The taxes, as well as their respective rates, should be clearly indicated in Price Schedules. The prices posted on the worksheets should include all costs and expenses, including taxes and duties of any kind, and any expenditure on imports. For the purposes of this proposal, should be considered for formatting prices, aliquot of 12% for ICMS.
Bidders must submit their pricing in Worksheet model, attached to this RFP, observing that spreadsheets represent the minimum to be presented, and each Proponent can submit as many worksheets as necessary to a full understanding of the proposal.
4.2 Taxes to be highlighted / Incidents: IPI, ICMS and ISS.
4.3 Payment Conditions : 100% of the value of the item within 90 days of delivery and acceptance by XYZ;
4.4 Delivery of Equipment / Material: According to ETC/draft contract.
4.5 Payment Validity : 90 days. Duration of contract: 2 years.
4.6 Values with Dolar based on parity US$ = R$ 1.9843, where applicable;
4.7 Warranty for Equipment / Materials: 24 months after receipt and acceptance by XYZ.
4.8 Information on the origin of the items offered (domestic or imported), and eventual nationalization programs.
4.9 If equipment and proposed materials are financed by Finame, the Finame code should be submitted along with the item(s);
4.10 Financing Proposal.
4.11 The Contractor shall quote by month/year the cost of technical support / maintenance service after the warranty period (if applicable);
4.12 The minimum quantities per equipment informed in the price spreadsheet may be changed according to the capacity/technology/modularity of each supplier.
4.13 From this material list, one should be able compose the presented prices. If there are conflicting values in the LPU, the lesser value will be considered.
4.13.1 In value without taxes the following must be included: PIS, COFINS, ISS and CIF, etc. ... (only the IPI and ICMS taxes should not be included).
4.14 The elements listed in the price spreadsheet should include all hardware, materials, software, services and peripheral equipment necessary for their full operation. Any product or service that is not listed, but it is necessary to operate the system should be offered and quoted by the Contractor. Otherwise, the Contractor, if successful, will provide the omitted item at no cost to the Employer.
5. Mandatory Requirements:
5.1 The Contractor shall have the ability and proven experience in the activities described in the object of this announcement, in order to indicate the name of Contractor, contractual object, time and duration of services, as well as Contractor’s name and email address in order to obtain additional information on the supplies/services, when requested.
6. Term of Awareness:
6.1 XYZ commits to examine all proposals received uniformly following existing procedures for choosing the end supplier.
Thus, XYZ informs that:
• The supplier participating in any stage of the bidding process of XYZ Board of Supplies must be ethical and commit to follow the "Code of Ethics" of the company, which is available on our official website: www.xyz.com.br (About XYZ > Company > Information > Suppliers > Code of Ethics).
• The supplier participating in any stage of the bidding process of XYZ Board of Supplies should be aware of and in accordance with the Confidentiality Agreement proposed by the Board, which is also available on our official website: www.xyz.com.br (About XYZ > Company > Information > Suppliers > Confidentiality Agreement).
• The deadline for submission of proposals should be met. No proposal, modification or supplementation will be accepted after the closing date specified in the RFP, except if requested by the responsible for the process in the XYZ Board of Supplies.
• The invited company that does not want to participate in the bidding process should formalize their absence by sending a statement declining the request for proposal received. The absence of this formalization may result in exclusion from future supplier competition proceedings.
In case of doubt, the supplier must search its contact, mentioned in the RFP, in the Board of Supplies for clarification.
7. Final Considerations
XYZ recognizes the amount of effort involved in answering this RFP, but shall not be liable for any costs incurred by Vendors / Bidders in the process of preparing the response to this request. All documents submitted to XYZ regarding this RFP shall become XYZ’s property and will not be returned to APPLICANTS.
The submission of proposal will mean full agreement with the terms and conditions hereof and its documents.

5.1. A XYZ pagará à ABC pela execução dos Serviços US$ 33,00 (trinta e três dólares americanos) por Equipamento XYZ acionado, nas formas e condições abaixo especificadas. Os valores poderão sofrer redução através de aditivos dependendo do volume alcançado a fim de equalizar demanda do negócio versus valores pagos no mercado local.
5.2. A cada 90 (noventa) dias, a contar do primeiro recebimento dos Dados da ABC pós a assinatura deste Contrato, a XYZ emitirá uma ordem de serviço à ABC indicando todos os Equipamentos XYZ acionados que contenham os Dados atualizados (“Ordem de Serviço”). Equipamentos XYZ em manutenção ou com defeito que já tenha licença paga e não seja mais elegível para uso em seus clientes serão substituídos por nova licença sem ônus.
5.3. Após o recebimento da Ordem de Serviço, a XYZ emitirá uma fatura no valor correspondente ao número de Equipamentos XYZ acionados indicados na Ordem de Serviço, substituindo Equipamentos XYZ defeituosos que necessitem de substituição.
5.4. A XYZ deverá efetuar o pagamento da fatura recebida da ABC no prazo de 90 (noventa) dias após o seu recebimento.
5.5. Para fins de esclarecimentos, as Partes reconhecem e concordam que a remuneração da ABC pela XYZ, em razão das atualizações de conectividade, melhoria contínua de performance e banco de dados, não será devida em relação aos dispositivos de rastreamento fornecidos à XYZ que não estiverem conectados ao gateway ABC, ainda que integrados ao Sistema ABC por força do Contrato de Licença.

5.1. XYZ will pay to ABC by the execution of the Services US$ 33.00 (thirty and three American dollars) by XYZ Equipment operated, considering the conditions and terms specified below. The values may be reduced by additives depending on the volume achieved in order to equalize demand business versus amounts paid in the local market.
5.2. Every ninety (90) days from receipt of the first data from ABC after the signing of this Agreement, the XYZ will issue a work order to ABC indicating all XYZ equipment powered containing the updated data ("Service Order"). XYZ equipment in maintenance or defective which has already paid license and is no longer eligible for use in their customers will be replaced by new license without cost.
5.3. Upon receipt of the Service Order, XYZ will issue an invoice in the amount corresponding to the number of XYZ Equipments operated listed in the Order of Service, replacing defective XYZ Equipments that require replacement.
5.4. XYZ should pay the invoice received from ABC within ninety (90) days after receipt.
5.5. For purposes of clarification, the parties acknowledge and agree that the remuneration to ABC by XYZ, due to connectivity upgrades, continuous improvement of performance and database will not be payable in relation to tracking devices provided to XYZ that are not connected to the ABC gateway, although integrated into the ABC System under the License Agreement.
