THIS MUTUAL CONFIDENTIALITY AGREEMENT (the “Agreement”) is made and entered into as of 5th June , 2010 by and between XXXXX, a company duly organized and existing under the laws of the Saudi Arabia (“ XXXXX”) and XXX WHEREAS, the parties hereto have entered into certain discussions relating to a possible business transaction (the “Transaction”);
WHEREAS, in connection with these discussions, it will be necessary for the parties hereto to divulge proprietary, confidential and competitively sensitive information;
WHEREAS, the Confidential Information constitutes extremely valuable information to the parties hereto; and
WHEREAS, the parties hereto are entering into this Agreement as a condition of disclosing the Confidential Information and to limit the disclosure and use of the Confidential Information.
NOW, THEREFORE, in consideration of the mutual agreements contained herein, and for other good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, the parties hereto, intending to be legally bound, hereby agree as follows:
Confidential Information. For purposes of this Agreement, “Confidential Information” shall mean all information relating to, or derived from, a party hereto or its Affiliates (as defined herein) (collectively, the “Disclosing Party”) to which the other party hereto or it’s Affiliates (collectively, the “Receiving Party”) is given access. Confidential Information shall include, without limitation, all methods and systems, software, technical data, research reports, designs and specifications, new product and service developments, customers and customer lists, pricing information, trademarks or service marks, and other information,

ولما كان من الضروري للطرفين المذكورين أن يفصحا في سياق هذه المناقشات عن معلومات مملوكة ملكية خاصة ومعلومات سرية وحساسة من حيث المنافسة؛
ولما كانت هذه المعلومات السرية تمثل أهمية كبيرة لطرفي الاتفاقية المذكورين؛
وبما أن الطرفين المذكورين اتفقا على إبرام هذه الاتفاقية كشرط للإفصاح عن هذه المعلومات السرية وتقييد الاستخدام والإفصاح عن هذه المعلومات.
وبناء على ما تقدم، وفي مقابل الاتفاقات المتبادلة الواردة في هذه الاتفاقية وفي مقابل عوض جيد وقيم، ومع الإقرار باستلامه وكفايته، اتفق الطرفان بموجبه والتزما قانونا بالآتي:
المعلومات السرية. تشكل "المعلومات السرية" في هذه الاتفاقية جميع المعلومات التي تخص طرف مذكور في هذه الاتفاقية أو المعلومات المأخوذة منه أو من الشركات التابعة له (كما هو محدد في هذه الاتفاقية) (ويشار إليهم جماعيا بوصف "الطرف المُفصِح") وهي المعلومات التي يطلع عليها الطرف الآخر المذكور أو الشركات التابعة له (يشار إليهم جماعيا بوصف "الطرف المُفصَح له"). تشمل المعلومات السرية، على سبيل المثال لا الحصر، جميع المناهج والأنظمة والبرامج والبيانات الفنية، وتقارير البحوث، والتصاميم والمواصفات، والمنتجات الجديدة وتطوير الخدمات، والعملاء وقائمتهم، والمعلومات الخاصة بالأسعار، والعلامات التجارية أو علامات الخدمة، والمعلومات الأخرى،
