原文文本 - English英语 HKLPF is making waves as a new policy to reinforce Hong Kong’s position as an international asset and wealth management hub. But what is so attractive about HKLPF? Whom is it for? To answer these questions, we must first understand the main features of HKLPF.
Partnership Formation: HKLPF requires one General Partner, “GP”, and at least one Limited Partner, “LP”. The GP can be an individual, a Hong Kong private limited company, a limited partnership, or a non-local company registered in Hong Kong. Every LPF is governed by a written limited partnership agreement.
Legal Liability: The GP assumes unlimited liability for the debts and obligations of the LPF. They’re also responsible for the fund’s management and control. Investors, however, only have limited liability for the debts and liabilities of the fund.
Statutory Appointments: The GP must appoint an Investment Manager, a Local Auditor and a Responsible Person for the HKLPF. The Investment Manager is in charge of daily management duties; the Local Auditor takes care of annual audits of financial statements, and the Responsible Person oversees anti-money laundering and counter-terrorist functions.
Registration and Obligations: Applications to establish a HKLPF must be submitted to the Hong Kong Company Registry by a registered Hong Kong law firm or solicitor. The HKLPF must maintain a Hong Kong-based registered office. It also needs to file annual returns and maintain operation-related records for five to seven years depending on the types of documents.
Tax and Stamp Duty: HKLPFs may enjoy certain tax exemptions according to conditions under the Inland Revenue Ordinance. No stamp duty will be chargeable where an interest in an LPF is contributed, transferred or withdrawn. However, as HKLPFs is not a company structure, it won’t enjoy the benefits of Hong Kong’s favorable tax treaties.
Tax Concession: There’s also a new tax concession regime for carried interest distributed by LPFs in Hong Kong. This is another key strength of the HKLPF structure. Under the Carried Interest Tax Concession regime, eligible carried interest will enjoy a 0% profit tax rate. To qualify as “eligible carried interest”, recipients of the carried interest need to fulfill certain requirements, including the number of full-time employees and operating expenditure. This will incentivize fund managers to operate and manage their funds from Hong Kong.

UnionPay Mobile QuickPass is an NFC-based technology. A new mobile payment system, NFC technology is a wireless short-range communication tool that operates within a specific high frequency and allows contactless, point-to-point exchange of data between different electronic devices. Users can make payments without internet connectivity or using any third-party app, given that an NFC radio-frequency channel is used to set up local communication with devices such as POS (point of sale) terminals or vending machines. UnionPay Mobile QuickPass supports NFC contactless payment with UnionPay chip cards, smartphones and wearables. Users can simply tap and pay with their QuickPass-enabled devices.
The UnionPay QR Code payment system has two modes: the Push Mode (the customer uses his mobile app to scan the QR code presented by the merchant to initiate a payment), and the Pull Mode (the merchants use a QR code reader to scan the QR code in the customer’s mobile app to initiate a payment). The Push Mode can be easily accepted through direct connection to UnionPay International Merchant Service Platform. Today, UnionPay’s mobile payment system is widely accepted in the realm of public transport. In the Guangdong-Hong Kong-Macau Greater Bay Area, a region frequented by Hong Kong people, passengers using the Guangzhou-Shenzhen intercity railway can now pay their fares using UnionPay Mobile QuickPass. Launched in May, the new service enables travellers to tap and pay with their UnionPay chip cards, smartphones or wearables. In other words, there is no need to queue up to purchase tickets and the time it takes to commute from one point to another is significantly shortened. This was the first time the service was introduced to a national rail system, and the initiative represented the Greater Bay’s new foray into development of smart rail transport. Meanwhile, UnionPay International is making an effort to introduce UnionPay’s innovative mobile payment services to the Hong Kong section of the Guangzhou-Shenzhen-Hong Kong high-speed rail and the Hong Kong-Zhuhai-Macau Bridge, two cross-border infrastructural projects to be launched soon.
When they get around in different mainland Chinese cities via public transport, Hong Kong people can continue to use UnionPay Mobile QuickPass and UnionPay QR Code without interruption. For example, various metro stations in mainland cities connected with the Guangzhou-Shenzhen-Hong Kong high-speed rail, including Guangzhou, Shanghai, Hangzhou, Kunming, Nanchang and Fuzhou, now accept UnionPay Mobile QuickPass. In some 400 cities and counties in mainland China, commuters can pay their bus fares with UnionPay’s mobile payment systems. UnionPay Mobile QuickPass and UnionPay QR Code are also accepted by the metro systems in 11 mainland Chinese cities, including Beijing, Shanghai, Guangzhou and Shenzhen, as well as the Shanghai maglev train. An increasing number of taxis in Shenzhen now also accept various payment services, including UnionPay Mobile QuickPass and UnionPay QR Code. It is estimated that by the end of 2018, 15,000 taxis will accept the innovative payment services.
